HAMBURG 15/12 - Germanischer Lloyd blijft zelfstandig. Op een aandeelhoudersvergadering maakte de directie van het Hamburgse klassificatiebureau de afgeslagen aanval door de Franse concurrent Bureau Veritas bekend. Veertig procent van de aandelen is overgegaan in handen van de Hamburgse ondernemer Günter Herz, met voor de lange termijn garanties op zelfstandig voortbestaan van het bedrijf.
Herz deed alle aandeelhouders de afgelopen week een stevig en onvoorwaardelijk aanbod om de onafhankelijkheid van GL in Hamburg veilig te stellen. Deze 'Hamburg Solution' stelt Germanischer Lloyd in staat de succesvolle bedrijfsvoering op gelijke wijze voort te zetten. Volgens directeur Reinaer Schöndube is het voor de GL-klanten de beste oplossing. 'Zij kunnen blijven vertrouwen op onze hoogstaande veiligheidsstandaard en kwaliteit voor de komende jaren.' Zijn collega-directeur Dr Hermann J. Klein ziet gelijke voordelen voor klanten, medewerkers èn aandeelhouders. 'We kunnen ons nu weer concentreren op waar we goed in zijn.'
Germanischer Lloyd heeft 3200 medewerkers in 176 vestigingen in 74 landen.
Protestdemonstratie Meer dan 450 medewerkers van Germanischer Lloyd protesteerden 4 december tegen de dreigende overname door Bureau Veritas. Op de 5e Nationale Maritieme Conferentie in Hamburg gaven ze uiting aan hun verzet. Inmiddels had ook Lloyds Register zich gemeld als gegadigde voor overname van Germanischer Lloyd.

De situatie was ongekend in de 140-jarige geschiedenis van het klassificatiebureau. Nooit eerder was de dreiging voor het bedrijf, de goede naam en de banen van medewerkers zo groot, klonk het onder de demonstrerende medewerkers. Het protest was bedoeld als een signaal aan aandeelhouders, dat de overname door verkoop van aandelen tegen de belangen van Germanischer Lloyd ingaat.
'De mannen uit Parijs', de eigenaren van concurrent Bureau Veritas, werden in Hamburg openlijk tot 'persona non grata' verklaard. 'Wie zou er willen werken voor bazen die alleen maar hun centen zitten te tellen?!' De verwachting werd uitgesproken dat BV ('Bald Verkauft' in het Duits) zelf binnen afzienbare tijd zal worden overgenomen door de Zwitserse certificatiegroep SGS. 'Hier is niets te koop, in ieder geval geen Germanischer Lloyd!', volgens de honderden demonstranten.
Vijandelijke overname Ook directie en raad van toezicht van Germanischer Lloyd moesten niets hebben van een vijandelijke overname door de Franse concurrent Bureau Veritas. Eerder had de ondernemingsraad zich al met kracht uitgesproken tegen overname. Het klassificatiebureau wilde z'n onafhankelijkheid na 140 jaar niet prijsgeven. Overname is niet goed voor GL en de 3200 medewerkers, maar ook niet voor de aandeelhouders, stelde de GL-top in een persbericht.
In een advies aan de aandeelhouders legden directie en raad van toezicht uit waarom het overnamebod wordt verworpen. De risico's zouden groter zijn dan mogelijke voordelen. 'Wij hebben Bureau Veritas niet nodig. In tegendeel, een vijandige overname zou de voortzetting van ons zakelijk succes tot nu toe in de weg staan', zei directeur Rainer Schöndube. Aan het overnamebod van 9 november ging geen enkel overleg vooraf. Overname zou een groot verlies betekenen voor het maritieme cluster in Duitsland, en het verlies van vele GL-klanten uit dat maritieme cluster.
Personele consequenties De ondernemingsraad maakte zich vooral zorgen over het feit dat intentieverklaring voor de overname zwijgt over personele consequenties. De ondernemingsraad wijst erop dat scheepsklassificatie op de totale omzet van Bureau Veritas maar 11% uitmaakt. De activiteiten van Bureau Veritas in die sector vertonen een sterke overlap met die van Germanischer Lloyd. GL-medewerkers zijn daarom bang dat de beoogde synergie zal leiden tot banenverlies op alle 173 locaties in 75 landen.
Inmiddels is duidelijk geworden dat klanten (scheepseigenaren, werven, toeleveranciers en vlagstaten) niet blij met deze ontwikkeling. Die houdt een 'knock down' van Germanischer Lloyd in en beperkt de keuze uit concurrerende klassebureaus. De ondernemingsraad riep de GL-directie met succes op de overdracht van aandelen te verhinderen en met alternatieven te komen om de zelfstandige voortzetting van Germanischer Lloyd veilig te stellen.

Broad rejection of the hostile takeover bid - GL Works Council fighting or the continued independence of Germanischer Lloyd
Hamburg, 23 November 2006 - The Works Council of Germanischer Lloyd has vehemently rejected the hostile takeover bid by Bureau Veritas. At an extraordinary works meeting today, the staff members of the classification society were informed about the consequences of a takeover by the French competitor.
The result of the works meeting is, that the staff wishes fully and only the continued existence of the German classification society Germanischer Lloyd.
Abstract of the address of the Works Council:
On 9 November, the Executive Board informed us all with a circular about the sudden acquisition offer by Bureau Veritas. Without entering into any discussions, the French group had submitted a purchase bid to ourshareholders.
The works council views this as "hostile takeover". A "hostile takeover" as and remains a frontal assault on the very existence of an enterprise.
We must remind our stockholders about the heavy responsibility they will have to bear if they do decide to sell their shares and thereby break up a central pillar of the German and international maritime industry.
Over the past few years, we have managed to build up a very successful position in Asia. And the course has already been set for GL's continued expansion in Asia. We really don't need BV to help us go forward! The truth is that BV wants to prop up its worldwide service network at our cost - and also needs our know-how to do so.
Ship classification is a mini-sector for BV, contributing only 11 percent to total turnover. BV is extremely profit-oriented. In the viewof the work council, safety and profit orientation do not go very welltogether. We find it most disturbing that the takeover offer contains no specific assurances for the workforce, but merely non-committal declarations of intent. This is a good reason for sounding the red alert.If they really meant well, they would have approached us in a very different way!
Dear colleagues, when we consider the future of Germanischer Lloyd, Hamburg is not the only place to think about. We must not let the wool be pulled over our eyes. We are a big GL Family with colleagues at 173 locations in 75 countries. It is not just our Head Office that is at stake. We are a truly global enterprise!
Indeed, what happens to our colleagues in Field Service after such a takeover?
What happens to their families?What happens to the first-class surveyor network? What happens to these colleagues when the closely-meshed network is unravelled to cut down costs and hike up profits - as is so very likely?
What guarantees will be given for the colleagues here and overseas?
Nothing on this topic is to be found in the takeover pamphlet!
My dear colleagues, please bear in mind that Bureau Veritas in Paris already has a functioning apparatus as a IACS class!!!
Everyone knows that, despite all the claims to the contrary, company mergers are always aimed at achieving synergy effects. And synergy effects generally mean reducing the workforce. That will be here, in Paris and in the Field Service.
ith regard to this attempt to assimilate Germanischer Lloyd as a strong competitor, surely our customers have a right to voice their opinion, and a weighty one at that.
This time, we have to defend ourselves with great vigour against a hostile takeover!
We must do everything in our power to inform our customers comprehensively and effectively about the negative changes looming ahead for them! If the takeover really does go through, we will no longer be able to give them the accustomed quality.
Over the past few days, we have been able to get a good impression of how our customers, shipowners, yards, supply industry and flag states are reacting to the attempt to knock down Germanischer Lloyd.
Our customers are not at all amused by this development. They are not pleased about this transparent plan to reduce the number of competitors and thus limit their range of choice.
The Works Council calls on the Executive Board, if the worst comes to the worst, to make use of its right to refuse consenting to a transfer of the registered shares.
The Works Council calls on the Executive Board to look for alternatives in maintaining the traditional independence of Germanischer Lloyd. In any case, we trust that our Executive Board will make every effort to ward off this attack on GL's integrity.
The Works Council calls on the Executive Board to develop strategies that will render any future takeover attempt impossible. But we do not wish to limit our scope of action to merely submitting this list of requests to the Executive Board.
Germanischer Lloyd has endured for almost 140 years now. Over this time, GL has made a good name for itself, and this name stands for safety in shipping.
In the view of the works council we come out of this threat to our independence and our values with greater strength than ever before.
